Practice Areas:

Corporate and Transactional

Our transactional practice covers the full range of contracts, employment agreements, joint venture agreements, real estate transactions, and general corporate matters. We represent several venture capital firms, a number of startups and a variety of other businesses. The following is a sample of the types of matters we have handled:

Determination of appropriate legal vehicle for new ventures and transactions;

Entity formation and legal maintenance of business entities;

Purchase and sale agreements;

Lease and sublease agreements;

Employment and termination agreements;

Assistance in dealing with employee, customer and vendor disputes;

Management incentive and profit sharing plans;

Buy-sell and inter-shareholder agreements;

Restructuring of existing businesses to conform to government regulation;

Restructure of existing businesses to minimize liability exposure;

Real Estate Development Contracts; and

Consultation on legal ramification and concerns of both day-to-day and extraordinary business decisions. These matters have been handled from a number of different perspectives. In some instances, we have been guarding the interests of investors; in others, that of the company itself, sometimes for buyers and sometimes for sellers. In several situations, we function as an outside general counsel, handling all legal matters as they arise.
